Michael Berner

Michael Berner has served as Vice President, Corporate & Securities Counsel, Chief Compliance Officer and Assistant Secretary since January 2021. He joined Wendy’s in November 2011 as Director, Corporate & Securities Counsel.

In his role as Corporate & Securities Counsel, Michael provides legal support for the Company’s SEC filings, public disclosures, stockholder relations, corporate finance strategy and corporate governance practices, including supporting Wendy’s senior management and Board of Directors. 

As Wendy’s Chief Compliance Officer, he leads the development and implementation of the Company’s Compliance Program to mitigate risk and promote a strong ethical culture.

Michael sets high standards for himself and his teams and aims to deliver the right outcomes, the right way, in all that he does. He also values empowering his teams and building strong partnerships across the organization to support Wendy’s business objectives and growth strategy.

Whenever Michael stops by a Wendy’s restaurant, he orders a Dave’s Double with bacon and a chocolate Frostyccino. Growing up, he says it was always a special treat to go out to Wendy’s for dinner with his family, including his younger sister Wendy. His order back then? A Junior Bacon Cheeseburger and baked potato.

Michael holds a J.D. from Syracuse University’s College of Law, a Masters in Public Administration from Syracuse University’s Maxwell School of Public Administration, and a B.A. from St. Lawrence University.
